Job Description Companies Act and other secretarial assignments. Regular, event based and annual compliances under the Act. Resolving of queries pertaining to the Act and its interpretation. Drafting of applications and petitions. Drafting of opinions. Liasoning with Registrar of Companies office. Drafting of application for compounding of offences. Conducting the Secretarial Audit of all relevant sections under Companies Act 1956, and Companies Act, 2013. Assisted in the incorporation of the company under the Companies Act, 2013. Drafting of agendas, notices, minutes & resolutions of Board and General Meetings. Advising companies on Compliance of legal and procedural aspects, particularly under – SEBi and RBI rules and regulations made there under. Representing on behalf of a company and other persons before- different Statutory and Government Body. Advising on arbitration, negotiation and conciliation in commercial disputes between the parties Acting as arbitration/conciliator in domestic and international commercial disputes Drafting Arbitration/Conciliation Agreement/Clause Compliance with rules and regulations in the securities market particularly – Internal Audit of Depository Participants, Follow the Certification under SEBI (DIP) Guidelines, Audit in relation to Reconciliation of shares, Certificate in respect of compliance of Limited Company Rules Keywords: Drafting of Format, Agreement, Application; Follow the Business Act, RBI, SEBI rules.
